Pega Announces Special Cash Dividend

Pegasystems Inc. (NASDAQ: PEGA), the enterprise AI software company for mission-critical work, today announced that it will pay a previously declared special cash dividend of $7 million on September 16, 2026, to shareholders of record as of August 17, 2026, excluding certain shareholders as described below.

As previously disclosed, Pega entered into a settlement agreement to resolve the consolidated shareholder derivative litigation captioned Dwyer et al. v. Trefler et al., Civ. No. 2484CV01734 (Mass. Super. Ct.) and Larkin et al. v. Trefler et al., No. 1:25-cv-10303-WGY (D. Mass.), under which Pega agreed to adopt certain governance reforms and to pay a special cash dividend of $7 million to shareholders, excluding certain shareholders identified in the agreement. The litigation has been dismissed with prejudice, and the applicable appeal period expired on July 25, 2026.
