Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 6, 2007, Barry P. Hoffman notified Valassis Communications, Inc. (“Valassis”) of his intent to retire from his positions as Executive Vice President, General Counsel, Secretary and Director of Valassis effective January 1, 2008. Mr. Hoffman has served as Valassis’ Executive Vice President, General Counsel and Secretary since July 1991 and has served as a director since January 2002. He has been with Valassis since 1982.
