Item 2.02                   Results of Operations and Financial Condition

On July 22, 2015, Thermo Fisher Scientific Inc. (the "Company") announced its financial results for the fiscal quarter ended June 27, 2015. The full text of the press release issued in connection with the announcement is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.

Item 5.02           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

    On July 21, 2015, the Board of Directors of the Company elected Peter M. Wilver, 55, currently Senior Vice President and Chief Financial Officer of the Company, to the position of Executive Vice President and Chief Administrative Officer of the Company, effective August 1, 2015. Mr. Wilver will not be retiring from the Company in March 2016 as previously reported. In his new role, Mr. Wilver will have responsibility for the Company’s global business services, human resources and legal functions. Mr. Wilver served as Chief Financial Officer of the Company since October 2004 and was appointed Senior Vice President in November 2006. Stephen Williamson, currently Vice President, Financial Operations, will succeed Mr. Wilver as Senior Vice President and Chief Financial Officer on August 1, 2015 as previously reported.
