          Item 8.01. Other Events.

     On February 25, 2009, First Solar, Inc. (“First Solar”) filed with the Securities and Exchange Commission (the “Commission”) its Annual Report on Form 10-K for the fiscal year ended December 27, 2008. The Form 10-K incorporates by reference certain information from First Solar’s definitive Proxy Statement for the 2009 Annual Meeting of Stockholders, which First Solar intends to file with the Commission within 120 days of the end of fiscal 2008 in accordance with applicable Commission rules and regulations. Exhibit 99.1, which is incorporated herein by reference, includes certain information that First Solar intends to provide in its Proxy Statement.
