Item 8.01. Other Events.

     On May 23, 2005, the Company issued a press release announcing that its previously announced fixed spread tender offer to purchase for cash any and all of its 7 ¾% Notes due 2009 (the “Notes”) had expired. In connection with the tender offer, an aggregate principal amount of $84,362,000 of the Notes were validly tendered and accepted for payment by the Company. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
