Item 4. Changes in Registrants Certifying Accountant.
On August 6, 2002, TBA Entertainment Corporation (the Company) dismissed its independent public accountants, Arthur Andersen LLP (the Former Accountants). The decision to change accountants was recommended and approved by the Companys Board of Directors.
During the Companys two most recent fiscal years and through the date of this Form 8-K, there were no disagreements with the Former Accountants on any matter of accounting principle or practice, financial statement disclosure or auditing scope of procedure, which disagreements, if not resolved to their satisfaction, would have caused them to make reference in connection with their opinion to the subject matter of the disagreement. None of the Former Accountants reports on the Companys financial statements for the Companys two most recent fiscal years and through the date of this Form 8-K contained an adverse opinion or disclaimer of opinion or qualification or modification as to uncertainty, audit scope or accounting principles.
After reasonable efforts, the Company is unable to obtain a letter from the Former Accountants stating that they are in agreement with the statements contained in this Form 8-K.
The Company has not engaged new independent public accountants, but intends to do so on or before August 14, 2002.
