Item 5.02 (c) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective April 1, 2009, Bank of Commerce Holdings and Redding Bank of Commerce has amended the Company’s Directors Deferred Compensation program. The amendment establishes an emergency distribution for unforeseeable emergencies, limits the amount of compensation that can be deferred to $500,000 and establishes the rate paid on the account as the Wall Street Journal prime rate plus three percent. Rates are adjusted on every January 1 and July 1st.
