Item 5.02. Departure of Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

Effective August 30, 2007, Mr. James B. Davis, Senior Vice President, Engineering and Operations, has left the company and is no longer an employee or performing duties as an officer of Goodrich Petroleum Corporation.
