Item 8.01 Other Events.

On February 16, 2010, Argan, Inc. (“Argan”) issued a press release announcing that Argan and United American Steel Constructors, Inc. (“UNAMSCO”) have discontinued merger negotiations and mutually terminated the related nonbinding letter of intent that was announced on August 10, 2009.
