Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On December 15, 2009, Barbara T. Alexander notified the Director of the Federal Housing Finance Agency, the Conservator of Freddie Mac (formally known as the Federal Home Loan Mortgage Corporation), that she does not wish to stand for re-election to Freddie Mac’s Board of Directors at the expiration of her current term. Ms. Alexander initially joined the Board of Directors in 2004, and was most recently re-elected on March 25, 2009 by written consent of the Conservator, for a term that will end (i) on the date of the next annual meeting of stockholders of Freddie Mac, or (ii) on the date the Conservator next executes a written consent for the purpose of electing directors, whichever occurs first. Freddie Mac currently anticipates that the Conservator will next execute such a consent in March 2010.
