Item 8.01 – Other Events

Orrstown Financial Services, Inc. (the “Company”), parent company of Orrstown Bank has completed the sale of sixty-five commercial real estate loans with a carrying balance of $28.6 million to a group of independent investors.  This sale will result in an additional after-tax charge to earnings of $5.8 million that will be reflected in the earnings for the quarter ended June 30, 2012.

Problem asset remediation is the Company’s highest priority and the sale of these distressed commercial loans allowed the Company to reduce its ratio of nonperforming assets to total assets by over 300 basis points. The sale of these classified loans is a major step in allowing the Company to strengthen its balance sheet as it lowers its classified assets and returns its asset quality ratios to more historical levels.
