Item 8.01. Other Events.
On December 23, 2014, before taking a vote at the Special Meeting of stockholders of Family Dollar Stores, Inc. (“Family Dollar”) on the proposal to adopt the Agreement and Plan of Merger, dated as of July 27, 2014, as amended by amendment no. 1 on September 4, 2014, by and among Family Dollar, Dollar Tree, Inc. (“Dollar Tree”), and Dime Merger Sub, Inc. (as it may be further amended from time to time, the “Merger Agreement”), Family Dollar adjourned the Special Meeting to 9:00 a.m. local time on January 22, 2015 as permitted by Section 5.4(c) of the Merger Agreement since there were insufficient votes at the time of the Special Meeting to adopt the Merger Agreement.
