Vote In Person: Many shareholder meetings have attendance requirements including, but not limited to, the possession of an attendance ticket issued by the entity holding the meeting. The Board of Directors recommends you vote FOR the following:
 
1. Election of Director

The Board of Directors recommends you vote FOR proposal 2, FOR 1 year on proposal 3 and FOR proposals 4, 5 and 6.
     
2. To approve, in a non-binding advisory vote, the compensation of the Company’s Named Executive Officers.
   
3. To recommend, by a non-binding advisory vote, the frequency of future advisory votes on the compensation of the Company’s Named Executive Officers.
   
4. To approve the amendment and restatement of the Company’s 2011 Incentive Plan, including an increase in the number of shares of common stock authorized for grant under such plan.
   
5. To ratify the appointment of EisnerAmper LLP as the Company’s independent registered public accounting firm for the Company’s fiscal year ending July 31, 2018.
   
6. To transact such other business as may properly come before the Annual Meeting or any adjournments or postponements thereof.
   
NOTE: In their discretion, the Proxies are authorized to vote upon such other business as may properly come before the Annual Meeting. This proxy when properly executed will be voted in the manner directed herein by the undersigned shareholder. If no direction is made, this proxy will be voted FOR the election of the nominee for Class III Director named in Proposal 1, FOR Proposal 2, FOR 1 year on Proposal 3 and FOR Proposals 4, 5 and 6.
