Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)

On October 12, 2018, Charles M. Gillman, a member of the Board of Directors (the “Board”) of Digirad Corporation (the “Company”), notified the Company of his decision to resign from the Board, effective immediately. Mr. Gillman indicated that his decision to resign was made in order to focus his time on other activities and was not the result of any disagreements with the Company or any person affiliated with the Company.

At the time of Mr. Gillman’s resignation, he was a member of the Corporate Governance and Strategic Advisory Committees of the Board.
