Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 16, 2009, Michael A. Carpenter notified the Company that he was resigning as a member of the Board of Directors effective immediately. Mr. Carpenter, who has been a member of the Company’s Risk Management Committee and Special Compliance Committee, was named Chief Executive Officer of GMAC LLC immediately before resigning as a Director of the Company. Mr. Carpenter advised the Company that his decision to resign from CIT’s Board of Directors was based on the increased time demands related to his new position.
