Pfizer Inc. (the "Company") has received notice of an unsolicited "mini-tender" offer by TRC Capital Corporation ("TRC Capital") to purchase up to 4,000,000 shares of the Company's common stock at an offer price of $31.60 per share in cash, which is approximately 4.27 percent lower than the $33.01 per share closing price for shares of the Company's common stock on May 12, 2017, the business day prior to the date of the offer. The shares subject to TRC Capital's offer represent approximately 0.067 percent of the shares of Pfizer common stock outstanding as of the date of the offer. On May 24, 2017, the Company issued the press release attached to this Report as Exhibit 99.1, informing its shareholders that the Company does not endorse TRC Capital's unsolicited mini-tender offer and recommending that shareholders do not tender their shares. Shareholders who have already tendered their shares may withdraw them at any time prior to the expiration of the offer, in accordance with TRC Capital's offering documents. The offer is currently scheduled to expire at 12:01 a.m., New York City time, on Wednesday, June 14, 2017, but TRC Capital may extend the offering period at its discretion. The Company is not affiliated or associated in any way with TRC Capital, its mini-tender offer or the offer documentation. Additional information concerning mini-tenders is included in the attached press release.
