Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 20, 2019, the Board of Directors (the “Board”) of Lakeland Financial Corporation (the “Company”) voted to adopt an amendment to the Company’s current, restated bylaws (the “Amendment”) to provide that any provisions to the bylaws may be added, altered, amended or repealed by the affirmative vote of not less than a majority of all votes entitled to be cast by the Company’s shareholders on the matter at any meeting of the shareholders, provided that the proposed addition, alteration, amendment, or repeal is contained in the notice of such shareholder meeting. Shareholders have the right to propose amendments to the bylaws for approval at a duly called annual meeting or special meeting of shareholders, provided that any such proposal must be submitted in compliance with Rule 14a-8 promulgated under the Securities Exchange Act of 1934, as amended
The Company will, at the first to occur of the next annual or special meeting of the shareholders following the 2019 annual meeting of the shareholders, propose an amendment to the Company’s articles of incorporation, as amended, to expressly provide that the shareholders shall have the right to amend the Company’s bylaws in conformity with the provisions set forth in the Amendment.
