Item 8.01 Other Events
On November 15, 2016, First Midwest Bancorp, Inc. (“First Midwest”) issued a press release announcing that it has received approval from the Federal Reserve to acquire Standard Bancshares, Inc. (“Standard”), the holding company for Standard Bank and Trust Company. The press release, dated November 15, 2016, is attached to this report as Exhibit 99.1 and incorporated herein by reference. The acquisition is subject to approval by the stockholders of First Midwest and Standard, which will be sought at the respective special meetings to be held on November 30, 2016, and the satisfaction of other customary closing conditions.
