Item 9.      Regulation FD Disclosure.

             On February 10, 2003, Norfolk Southern Corporation issued
a press release announcing that its vice chairman and chief financial
officer was scheduled to address the Deutsche Bank Global Transportation
Conference at 11:20 a.m. Eastern time on February 12.  The press
release advised interested investors that they could listen via a
simultaneous webcast through the "Investing in the Thoroughbred"
section of the www.nscorp.com.  After the webcast, Mr. Wolf's remarks
will be posted on www.nscorp.com.  Copies of the 2003 Investor Book
distributed to Conference participants and Mr. Wolf's speech and
slide presentation are all attached hereto as Exhibit 99.
