On May 11, 2006, Mechanical Technology Incorporated (the "Company") filed a Registration Statement on Form S-3 with the Securities and Exchange Commission. The shelf Registration Statement, when effective, will allow the Company to issue, from time to time, common stock, common stock warrants, debt securities and units at an aggregate initial offering price not to exceed $40 million. The Company has no current plans to sell securities under this Registration Statement.
