Item 7.01 Regulation FD Disclosure.
A copy of the press release referenced under Item 8.01 of this Current Report on Form 8-K is “furnished” as Exhibit 99.1 to this Current Report on Form 8-K. Item 8.01 Other Events.
On July 16, 2013, Forest City Enterprises, Inc. (the “Company”) issued a press release to announce the pricing of its private offering of $250 million aggregate principal amount of 3.625% Convertible Senior Notes due 2020 (the “Notes”) (the “Offering”). The Company also announced that it granted the underwriters a 13-day option to purchase up to an additional $50 million aggregate principal amount of the Notes to cover overallotments, if any. Subject to customary closing conditions, the Offering is expected to close on or about July 19, 2013.
