U.S. Federal Income Tax Considerations
The discussion set forth under the heading “U.S. Federal Income Tax Considerations” in Exhibit 99.1 hereto (incorporated by reference herein) supersedes and replaces, in its entirety, the discussion under the heading “U.S. Federal Income Tax Consequences” in the prospectus dated May 4, 2016, which is a part of Extra Space Storage Inc.’s (the “Company’s”) Registration Statement on Form S-3 (File No. 333-211125) filed with the Securities and Exchange Commission (the “SEC”) on May 4, 2016 and which is also attached to the prospectus supplement dated May 6, 2016 filed by the Company with the SEC on May 6, 2016 pursuant to Rule 424(b) under the Securities Act of 1933, as amended.
