Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously announced, the company entered into, on November 24, 2015, an Executive Retention and Separation Agreement with Barry Labinger, the company's Executive Vice President and President of the company's biosciences division.  On December 2, 2015, Mr. Labinger notified the company that he is terminating his employment with the company effective as of January 4, 2016. Subject to Mr. Labinger's compliance with the terms and conditions of the Separation Agreement, the company will pay to Mr. Labinger $628,846, payable over 11.25 months, in accordance with the Separation Agreement. Mr. Labinger will also be entitled to the other payments, benefits, and rights as set forth in the Separation Agreement.  A description of the material terms of the Separation Agreement is set forth under Item 5.02 of the company's Current Report on Form 8-K, as filed by the company with the Securities and Exchange Commission on December 1, 2015.
