Item 8.01 Other Events.

On February 2, 2009, Standard & Poor's Ratings Services announced that it had lowered its corporate credit rating for Ferro Corporation to "B-" and placed the rating on CreditWatch with negative implications. On February 3, 2009, Moody’s Investor Services, Inc. affirmed the Company’s corporate credit rating at B1 but changed the outlook to negative.
