Item 8.01 Other Events.

In July 2007, Cooper Tire & Rubber Company, a Delaware corporation (the "Company"), along with Michelin North America, Inc., a New York corporation (the "Buyer"), announced an agreement regarding the Buyer’s intention to purchase all of the issued and outstanding capital stock of Oliver Rubber Company, a California corporation and wholly owned subsidiary of the Company, and its subsidiaries ("Oliver Rubber"). Oliver Rubber produces tread rubber and retreading equipment. The Buyer announced today, and the Company hereby announces, that the Buyer has completed its acquisition of Oliver Rubber.
