Item 8.01. Other Events.

On January 19, 2005, Forest City Enterprises, Inc. was informed that Fannie Mae has withdrawn its letter of intent to lease up to 1.5 million square feet of office space at Waterfront -- a project located in the Washington, D.C. area jointly owned by Forest City and Washington-area real estate developers Kaempfer Co. and Bresler & Reiner, Inc. The letter of intent was previously announced in a press release dated May 5, 2004.
