On July 19, 2018, GGP Inc. (GGP) announced that leading independent proxy advisory firms Institutional Shareholder Services Inc. and Glass, Lewis & Co., LLC have both recommended that GGP stockholders vote FOR the merger proposal (Proposal 1) and FOR the related charter and bylaws proposals (Proposals 2-7), each as described in GGPs definitive proxy statement for the special meeting of its stockholders to be held on July 26, 2018 at 9:00 a.m. (Chicago Time) in connection with GGPs proposed acquisition by Brookfield Property Partners L.P. (BPY).
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

This communication is being made in respect of the proposed transaction contemplated by the Agreement and Plan of Merger, dated as of March 26, 2018 and as amended on June 25, 2018, among BPY, Goldfinch Merger Sub Corp. and GGP (as may be further amended or otherwise modified from time to time in accordance with its terms, the Merger Agreement).
