Item 2.02 Results of Operations and Financial Condition

On July 20, 2017, Monro Muffler Brake, Inc. (the “Company”) issued a press release announcing its operating results for the first quarter ended June 24, 2017, as well as estimated second quarter and fiscal 2017 comparable store sales growth and diluted earnings per share. A copy of the press release is furnished herewith as Exhibit 99.1.

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Company announced on Monday, July 17, 2017, that Craig Hoyle, 63, Senior Vice President – Operations will retire from the Company, effective December 31, 2017. The Company plans for its two Divisional Vice Presidents – Operations to report directly to its Chief Executive Officer.

 

Item 8.01 Voluntary Disclosure of Other Events

The Company announced that, during the first quarter, it signed definitive agreements to acquire 20 stores within its existing markets that are expected to close in the second quarter and add approximately $13 million in annualized sales. Further details of these acquisitions are contained in the press release furnished as Exhibit 99.1.
