Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Ms. Karen Bolton has resigned from her position as Executive Vice President of Client Management of Mattersight Corporation (the “Company”), with such resignation being effective as of August 9, 2013. Ms. Bolton did not resign from the Company as a result of any disagreements with the Company on any matter relating to the Company’s operations, policies, or practices.
