Section 5 – Corporate Governance and Management

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

WellPoint, Inc. (the “Company”) received notices of resignation from the following directors on the specified dates: (i) Dr. Lenox D. Baker, Jr. on May 7, 2013; (ii) Susan B. Bayh on May 12, 2013; and (iii) Sheila P. Burke on May 13, 2013. The resignations are effective immediately. Each of the named directors resigned for personal reasons and there were no disagreements or disputes between the Company and any of the named directors which led to their resignation.

In addition, Ms. Burke withdrew her candidacy for re-election to the Company’s Board of Directors at the 2013 Annual Meeting of Shareholders, for which a definitive proxy statement was filed with the Securities and Exchange Commission on April 2, 2013 (the “Proxy Statement”). Her decision to not stand for re-election was for personal reasons and was not due to any disagreement or dispute between the Company and Ms. Burke.

Shareholders who have already submitted proxies for the 2013 Annual Meeting of Shareholders do not need to resubmit their proxy unless they wish to revoke it. Shareholders who have not submitted their proxy may continue to use the same form of proxy that was delivered with the Proxy Statement. The proxy holders will vote the shares as instructed by the shareholders with respect to the existing nominees other than votes with respect to Ms. Burke, which will be disregarded.

The Company is reaffirming its net income guidance for full year 2013 of at least $7.75 per share, including investment losses of $0.05 per share. This outlook includes no investment gains or losses beyond those recorded in the first quarter of 2013.
