Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On March 29, 2012, the Board of Directors of Forest City Enterprises, Inc. (the “Company”) approved a change of the Company’s fiscal year end from January 31 to December 31, effective with the year ended December 31, 2013. The transition period that will result from this change will be from February 1, 2013 to December 31, 2013. The Company will file a report on Form 10-K that will cover this transition period.
