DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

(d) On December 5, 2008, the Board of Directors of Costco Wholesale Corporation elected Mr. Jeffrey Raikes as a director to fill a newly-created vacancy on the board. Mr. Raikes was not appointed to serve as a member of any committees of the Board. Mr. Raikes’ compensation for his board service will be the standard fees paid to all non-executive board members and participation in the Company’s Fourth Amended and Restated 2002 Equity Incentive Plan. Additional information concerning Mr. Raikes and his appointment to the Board of Directors is included in the press release attached hereto as an exhibit.
