Item 5.02

Departure of Director.

Parag Saxena, a member of the Board of Directors of Transgenomic, Inc., has submitted his resignation from the Board, effective March 16, 2007. In addition, Mr. Saxena resigned from his positions as a member of the Board’s Compensation Committee and Audit Committee.
