State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report portion thereof, could not be filed within the prescribed time period.

As disclosed in Citrix Systems, Inc.’s (“Citrix”) Current Report on Form 8-K filed with the Securities and Exchange Commission on January 23, 2007, the Audit Committee of Citrix’s Board of Directors is conducting a voluntary review of Citrix’s historical stock option granting practices and the related accounting issues, with the assistance of independent outside legal counsel. The Audit Committee is working to complete the stock-based compensation review in a timely manner. Citrix will not be in a position to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2006 until after the completion of the review, which will not occur within the prescribed time period for the filing of such Form 10-K.

* Because of the review regarding Citrix’s stock option grant practices discussed in Part III above, Citrix has not checked either box in Part IV subsection 3 as Citrix does not currently know whether any such compensation charges would be deemed to be material and require the company to restate previously issued financial statements or would affect the preliminary financial results for its fiscal year ended December 31, 2006 announced by Citrix on January 23, 2007.
