Item 5.07.    Submission of Matters to a Vote of Security Holders
 
As previously reported in connection with the Company's Annual Meeting of Stockholders held on May 19, 2011, the Company's stockholders recommended in an advisory vote that the Company hold an advisory vote on the compensation of its named executive officers on an annual basis.

The Company has considered the outcome of this advisory vote and has determined, as was recommended with respect to this proposal by the Company's Board of Directors in the proxy statement for the Annual Meeting, that the Company will hold an annual advisory vote on the compensation of the Company's named executive officers.

The results of the stockholder votes at the Annual Meeting were disclosed by the Company on a Current Report on Form 8-K filed on May 23, 2011 (the "Original Report"). This Current Report on Form 8-K/A amends the Original Report solely for the purpose of disclosing the Company's decision on the frequency of future say-on-pay votes.
