Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 27, 2007, ADTRAN, Inc. (the "Company") announced that Chairman of the Board and co-founder Mark C. Smith passed away in Huntsville, Alabama, at age 66, due to complications from pneumonia. In accordance with the Bylaws of the Company, Thomas R. Stanton, Chief Executive Officer of the Company, will act as Chairman of the Board until a new Chairman is appointed by the Board of Directors.
A copy of the press release announcing Mr. Smith's passing is attached as Exhibit 99.1 to this report.
