Item 2.02.  Results of Operations and Financial Condition.

This Form 8-K/A is being filed solely to correct minor typographical and scrivener’s errors contained in the tables attached to the earnings press release furnished as Exhibit 99.1 to the Current Report on Form 8-K that Forest City Enterprises, Inc. filed with the Securities and Exchange Commission on March 31, 2010.

The errors corrected in this Form 8-K/A include two incomplete footnotes, a missing number, an incomplete column heading, a spelling error and minor formatting changes.  A corrected copy of the earnings press release is attached as Exhibit 99.1 to this Form 8-K/A.

The information in this Current Report on Form 8-K/A shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or incorporated by reference in any filing under the Securities Act of 1933, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
