Item 8.01. Other Events.
 
Commencing February 26, 2008, Intelli-Check, Inc. (“Intelli-Check”) intends to hold presentations for its stockholders regarding its proposed acquisition of Mobilisa, Inc. (“Mobilisa”), as described in Intelli-Check’s definitive proxy dated February 6, 2008 and filed with the Securities and Exchange Commission. The presentation is attached as Exhibit 99.1 and is incorporated by reference herein.
 
  Intelli-Check and its directors and executive officers may be deemed to be participants in the solicitation of proxies for the special meeting of Intelli-Check stockholders to be held to approve the acquisition of Mobilisa. Intelli-Check’s stockholders are advised to its definitive proxy statement, in connection with Intelli-Check’s solicitation of proxies for the special meeting to approve the acquisition because these documents contain important information. The definitive proxy statement has been mailed to stockholders as of the record date of January 31, 2008 established for voting on the acquisition. Stockholders are also able to obtain a copy of the definitive proxy statement, without charge, by directing a request to: Peter J.
