COMPLETION OF ACQUISITION OR DISPOSITION OF ASSETS.

On October 19, 2011, Sensient Technologies Corporation issued a press release disclosing that it has reached an agreement to acquire the interests of its joint venture partners in Les Colorants Wackherr do Brasil, a cosmetic color and ingredients company located in Sao Paulo, Brazil. The business generates annual revenues of approximately $9.5 million, and the transaction is expected to close before the end of the year. Sensient announced that the transaction is expected to result in an after-tax gain of $3 - $4 million, and that the Company is also implementing a cost reduction plan at selected foreign operations that will result in a pre-tax charge in the fourth quarter of up to $4 million.
