RE: SWS-Hilltop Transaction Update

 

Dear First Southwest Employee,

 

I am writing to convey a brief update on the progress of our pending merger with Southwest Securities. On July 18th, Hilltop and SWS jointly filed an updated Form S-4/Proxy with the SEC. As you may know, the Form S-4/Proxy contains detailed descriptions of the SWS shareholders meeting, the merger, certain documents associated with the merger, Hilltop Holdings and other related matters. In early September, we expect to file another amended filing to reflect the two companies’ financial results for the period ended June 30th.

 

This week, the SWS Board set a “record date” of September 5th. The record date is the date established to determine which SWS shareholders are entitled to vote on the merger. We expect that vote to occur approximately six weeks after the record date. Following the SWS stockholder vote, we will need to obtain any remaining regulatory approvals to close the transaction, which we expect to occur during the fourth quarter of this year.

 

The Integration Committee continues to meet and work together to prepare for the anticipated merger of our businesses. The Integration Committee has met with several business heads and will continue to do so until the closing of the transaction. Additionally, the Committee has now created sub-committees, with representatives from both firms, to help it develop plans around major components of the business.
