Item 1.01 Entry into a Material Definitive Agreement.

On January 23, 2014, American Midstream Partners, LP (the “Partnership”) and certain of its affiliates (collectively, the “Partnership Parties”) entered into an underwriting agreement (the “Underwriting Agreement”) with Barclays Capital Inc. and UBS Securities LLC (the “Underwriters”), providing for the issuance and sale by the Partnership, and the purchase by the Underwriters, of 3,400,000 common units representing limited partner interests in the Partnership (the “Common Units”) at a price to the public of $26.75 per Common Unit (the “Offering”). The Offering of the Common Units was registered under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to a Registration Statement on Form S-3 (Registration No. 333-183818) (the “Registration Statement”) filed with the Securities and Exchange Commission (the “Commission”) that became effective on November 27, 2013, as supplemented by a Prospectus Supplement dated January 23, 2014 and filed with the Commission on January 24, 2014, pursuant to Rule 424(b)(2) of the Securities Act. Pursuant to the Underwriting Agreement, the Partnership granted the Underwriters a 30-day option to purchase up to an additional 510,000 Common Units on the same terms as those relating to the Common Units sold by the Partnership in the Offering. The Offering is scheduled to close on January 29, 2014.

Upon the closing of the previously announced acquisition of an approximately 120-mile natural gas gathering and redelivery system located in the Eagle Ford shale from a subsidiary of Penn Virginia Corporation (the “PVA Asset Acquisition”), the Partnership intends to use the net proceeds from this offering to fund a portion of the purchase price of the PVA Asset Acquisition.  In the event the Partnership does not consummate the PVA Asset Acquisition, the Partnership will use the net proceeds of this offering to repay a portion of the outstanding borrowings under its credit facility or for general partnership purposes.  If the underwriters exercise their option to purchase additional common units, the Partnership intends to use all the net proceeds from the sale of additional common units to repay a portion of the outstanding borrowings under its credit facility.

Pursuant to the Underwriting Agreement, the Partnership Parties agreed, among other things, to indemnify the Underwriters against certain liabilities, including liabilities arising under the Securities Act, or to contribute to payments the Underwriters may be required to make in respect of those liabilities. A copy of the Underwriting Agreement is attached hereto as Exhibit 1.1 and is incorporated by reference herein. The foregoing description of the terms of the Underwriting Agreement is qualified in its entirety by reference to this exhibit.

The Underwriters and their respective affiliates have, from time to time, performed, and may in the future perform, various financial advisory, commercial banking and investment banking services for us and our affiliates, for which they received or will receive customary fees and expense reimbursement.

Item 7.01 Regulation FD Disclosure.

On January 23, 2014, the Partnership issued a press release announcing the pricing of the Offering described in Item 1.01 of this Current Report on Form 8-K. A copy of the press release is furnished as Exhibit 99.1 hereto. In accordance with General Instruction B.2 of Form 8-K, this press release is deemed to be “furnished” and shall not be deemed “filed” for the purpose of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall such information or Exhibit be deemed incorporated by reference into any filing under the Securities Act or the Exchange Act.
