     (b)  On January 16, 2007, Aflac Incorporated announced that Mr. Tohru Tonoike submitted his resignation from the Aflac Incorporated board of directors, effective January 31, 2007, to assume the position of deputy president of Aflac Japan effective February 1, 2007.

     The press release issued by Aflac Incorporated on January 16, 2007 announcing the above changes is attached hereto as Exhibit 99.1.
