The registrant requires additional time to prepare, substantiate and verify the accuracy of its financial reports.  The registrant is in the process of preparing and reviewing its financial information.  The process of compiling and disseminating the information required to be included in the Form 10-Q for the period ended September 30, 2014, as well as the completion of the required review of its financial information, could not be completed within the prescribed time period without incurring undue hardship and expenses.

The fiscal year ended December 31, 2013 was the first year of operations of the Company’s mining and exploration business. It is likely that there will be significant changes in the Company’s revenues and operating expenses for the quarter ended September 30, 2014 as compared to the quarter ended September 30, 2013. However, a reasonable estimate of such changes cannot be made at this time because the financial statements are still being compiled.
