Celestica Inc. (NYSE: CLS) (TSX: CLS) (“Celestica” or the “Company”), a global leader in data center infrastructure and advanced technology solutions, today announced the pricing of its previously announced equity offering of 9,677,419 common shares at a price to the public of $310 per share (the “Offering”). The gross proceeds from the Offering, before underwriting discounts and Offering expenses, are expected to be $3,000,000,000.
Celestica has granted the underwriters an option to purchase up to an additional 1,451,612 common shares to be sold pursuant to the Offering. The underwriters’ option is exercisable for a period of 30 days from the date of the final prospectus supplement relating to the Offering.
Use of Proceeds
Net proceeds from the Offering are expected to be used for working capital and to support investments in capital expenditures, in addition to other general corporate purposes.
Closing
The Offering is expected to close on or about August 7, 2026, subject to customary closing conditions, including the listing of the additional common shares on the New York Stock Exchange and the Toronto Stock Exchange.
BofA Securities and Citigroup are acting as joint lead bookrunners (in alphabetical order) and TD Securities is acting as bookrunner for the Offering.
