Proposed acquisition coincides with OpenWorld’s trading debut on Nasdaq under OPNW
Expected to support the continued development of OpenWorld Enterprise with agentic tokenization capabilities
OpenWorld, Inc. (NASDAQ: OPNW) (“OpenWorld” or the “Company”), an innovation company advancing global real-world asset (“RWA”) tokenization, today announced that it intends to acquire Blocksight Holdings Co. (“Blocksight”), subject to final approval by the OpenWorld Board of Directors and the execution of definitive transaction documentation. Blocksight is a platform that builds AI agents designed to bring real-world assets on-chain and provide ongoing investor reporting. The proposed acquisition is expected to support the continued development of OpenWorld Enterprise, a platform being developed by OpenWorld through which institutions can access, verify, and hold tokenized RWA opportunities in which OpenWorld may act as a co-principal and co-architect. The parties are in the process of finalizing definitive transaction documentation, and there can be no assurance that such documentation will be executed or that the proposed acquisition will be completed.
Blocksight’s AI agents are designed to support the full lifecycle of bringing RWAs on-chain, including structuring deals, verifying asset data, onboarding investors, delivering daily investor reporting, and continuously servicing investments. The agents are designed to operate across multiple chains and connect directly to distribution platforms. OpenWorld believes that integrating Blocksight’s technology with OpenWorld’s origination and structuring capabilities could enhance OpenWorld Enterprise’s ability to bring assets on-chain more efficiently and consistently and support the platform’s development at institutional scale. If the proposed acquisition is completed, Blocksight co-founders Patrick Kim and Peter Hong are expected to join OpenWorld and support the integration of Blocksight’s technology into OpenWorld Enterprise.

The announcement follows the completion of OpenWorld’s business combination with VerifyMe, Inc., following which the combined company was renamed OpenWorld, Inc. and its common stock began trading on The Nasdaq Capital Market under the ticker symbol “OPNW” on October 1, 2026. OpenWorld Enterprise is being developed to give investors and institutions exposure to metered RWA infrastructure by connecting measurement systems to the blockchain and providing transparency into performance through continuously updated asset and energy data. OpenWorld believes this offering can support its broader objective of building a public-company platform for the tokenization, integration and trading of RWAs in global capital markets and expanding access to the economic characteristics and cash flows of such assets.
The proposed acquisition remains subject to final approval by the OpenWorld Board of Directors, execution of definitive transaction documentation and satisfaction or waiver of the conditions set forth therein.
