Other Events. On April 9, 2009, Registrant issued $50,000,000 of its 10.00% Series A Senior Notes due April 9, 2018 in a transaction exempt from the registration requirements of the Securities Act of 1933. The proceeds of the Notes will be used to refinance existing indebtedness and for general corporate purposes. The Note Purchase and Private Shelf Agreement requires lump sum repayments upon maturity and includes specific financial covenants and ratios and limits certain payments, investments and indebtedness, in addition to other requirements customary to such borrowings. The Note Purchase and Private Shelf Agreement is filed as an exhibit hereto.
