Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard;
Transfer of Listing.
On March 4, 2009, NYSE Regulation, Inc. (“NYSE Regulation”) issued a press release stating its
determination that the commons stock of Visteon Corporation (the “Company”) should be suspended
prior to the opening of trading on Friday, March 6, 2009. The Company will not seek a review of
such determination and expects to commence trading on an over-the counter market that same day
under a symbol yet to be determined.
A copy of NYSE Regulation’s press release is attached hereto and incorporated herein by
reference.
