The Registrant's Quarterly Report on Form 10-Q for the quarter ended September 30, 2003 (the "Quarterly Report") could not be filed within the prescribed time because of certain issues which have arisen relating to the valuation of its ArmorGroup Services division. These issues relate to the accounting treatment of certain complex tax issues, which could not be resolved in a timely manner without unreasonable effort or expense. The Registrant anticipates that the Quarterly Report will be made as required under Rule 12b-25 (b)(2)(ii). Subject to the completion of our review regarding the valuation of our ArmorGroup Services division, we expect to report net income for the three months ended September 30, 2003 of $6.1 million, compared to a net loss of $14.7 million for the three months ended September 30, 2002. Net income for the three months ended September 30, 2003 includes income from continuing operations of $6.1 million and income from discontinued operations of $6,000, compared to income from continuing operations of $3.0 million and a loss from discontinued operations of $17.7 million for the three months ended September 30, 2002.
