     On July 20, 2006, EPIX Pharmaceuticals, Inc. (the “Company”) issued a press release announcing that its Annual Meeting of Stockholders, at which the Company’s stockholders will consider the Company’s proposed merger with Predix Pharmaceuticals Holdings, Inc., has been scheduled for August 15, 2006. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated herein by reference.
