ITEM 5.02		Other Events

Flow International Corporation (Nasdaq: FLOW), the world’s leading developer and manufacturer of industrial waterjet machines used for cutting and cleaning applications, today announced that it had appointed Larry A. Kring as an independent member of its Board of Directors. A copy of the press release announcing the appointment is attached as Exhibit 99.1 to this Current Report.

There are no arrangements or understandings between Mr. Kring and any other persons pursuant to which Mr. Kring was selected as a director. There are no transactions, or proposed transactions, during the past two years with the Company to which Mr. Kring was or is to be a party, in which Mr. Kring, or any member of his immediate family, has a direct or indirect material interest. At this time the Board of Directors has not determined the committees on which Mr. Kring will serve.
